The National Court Register (KRS)

Registration of the company in the National Court Register

The following entities have to be registered in the National Court Register:

1. registered partnerships (business),
2. professional partnerships,
3. limited partnerships (business),
4. limited and joint-stock partnerships,
5. limited companies,
6. joint-stock companies,
7. European companies,
8. entrepreneurs described in the regulations concerning carrying out an economic activity (small business) within the Republic of Poland by the foreign natural persons and the legal entities,
9. branches of the foreign companies carrying out economic activities on the territory of Poland.

The Legal act of National Court Register (KRS) of 20 August 1997 (Journal of Laws, 1997, No 121, Item 769 as amended) establishes uniform registration procedures, common for all entrepreneurs, who are obligated to register with KRS. National Court Register (KRS) is run by the regional courts (economic courts) in the electronic system, who are at the same time the register courts covering the area of the voivodship or its part.

The register was established to provide the public with information concerning the legal situation of registered entities taking financial aspects and means of representation of the entity into consideration.

The National Court Register is accessible to the public – everyone has access to registration files of entities registered in it and can obtain legalised extracts and certificates concerning data entered in the register. Registrations in the register have to be publicised in the Official Journal: Monitor Sądowy i Gospodarczy, unless provisions of a legal act state otherwise.

Extracts from the KRS are obtainable within the whole country in the Central Information of the KRS offices.

Moreover, the National Court Register may also contain other, important information concerning an entrepreneur:

• information about tax and customs arrears,
• information about Social Security arrears,
• creditors and amounts of unpaid liabilities.

The proposal of registration must be done on the official form, which is available in the courts, within 7 days from the justified date of the registration, with the exception of other regulations. The forms are available at court and on the Ministry of Justice web-site.

The proposal of the registration in KRS should include:

• authenticated by notary or judge or other authorised person specimen signatures of people who are authorised to represent the company or a proxy,
• document that proves the ownership of the property in which the activity mentioned in the proposal will he carried out,
• proper documents (legal company agreement, statute of the company) originals or authenticated copies,
• proof of payments for the registration in the court and for publishing applicable data in the Official Journal.
